QUESNEL, British Columbia, Feb. 28, 2018 (GLOBE NEWSWIRE) -- Prosper Gold Corp. ("Prosper Gold" or the "Company") (TSXV:PGX) announces that it has completed a non-brokered private placement financing of $500,000 (the “Private Placement”), through the issuance of 5,000,000 units of the Company (the “Units”) at a price of $0.10 per Unit.

Each Unit issued under the Private Placement consists of one common share ("Prosper Share") and one common share purchase warrant (a "Warrant") with each Warrant exercisable to acquire one Prosper Share for a period of 24 months at an exercise price equal to $0.15.

In connection with the Private Placement and in accordance with the policies of the TSX Venture Exchange, finder's fees totaling $2,500 in cash were paid and 25,000 common share purchase warrants (each, a "Finder Warrant") were issued. Each Finder Warrant is non-transferable and exercisable for one Prosper Share for a period of 24 months following closing at an exercise price equal to $0.15.

Prosper Gold expects to use the net proceeds from the Private Placement to fund exploration activities at the Company's Egan Discovery and for working capital and general corporate purposes.

All securities issued pursuant to the Private Placement will be subject to a four month and one day hold period in accordance with applicable securities laws.
